1. About the Service

Kaksha is a software-as-a-service platform that helps tuition centers, coaching institutes and schools manage students, attendance, fees, exams, homework, timetables, notices, study materials and a public directory listing. The Service is delivered over the internet and requires an internet-connected browser.

2. Accounts & eligibility

• You must be 18 years or older, or use the Service under the supervision of a parent/guardian, to sign up as an owner or staff member.
• You are responsible for the accuracy of information you provide and for keeping your login credentials secure.
• You are responsible for the acts of staff, teachers and students you invite into your center's workspace.
• We may suspend or terminate accounts that violate these Terms.

3. Plans, billing & payments

Kaksha is offered on a Free plan and paid subscription plans (Basic and Pro). Paid subscriptions are billed in Indian Rupees (INR) and processed by Razorpay Software Private Limited. By subscribing you authorise us to charge the applicable fees for the plan and billing cycle you select.

• Prices, features and limits for each plan are shown on the pricing section of our website and may change with prior notice.
• Subscription fees are payable in advance for the selected billing period (monthly or yearly).
• Applicable taxes (GST) may be added at checkout.
• Refunds and cancellations are governed by our Refund & Cancellation Policy.

Separately, centers may connect their own Razorpay account inside Kaksha to collect tuition fees from parents. Those payments settle directly to the center's Razorpay account — Ralosy is not a party to those transactions and holds no funds on behalf of the center or the parent.

4. Acceptable use

• Do not upload unlawful, defamatory, obscene or infringing content, or content that violates a student's or parent's rights.
• Do not use the Service to send spam, unlawful marketing or bulk unsolicited messages.
• Do not attempt to disrupt, reverse-engineer, scrape or overload the Service.
• Do not use the Service to run a competing product.
• Public directory listings, reviews and center descriptions are moderated and may be edited or removed at our discretion.

5. Your data

Data you enter into Kaksha (students, staff, marks, fees, materials, etc.) belongs to your center. We process it on your behalf to provide the Service, as described in our Privacy Policy. You are responsible for having a lawful basis to collect and store information about students and parents, and for informing them where required by law.

6. Intellectual property

The Kaksha and Ralosy names, logos, website design, source code and documentation are owned by Ralosy or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your center during your active subscription. You may not copy, resell, sublicense or exploit the Service without written permission.

7. Third-party services

The Service integrates with third parties including Razorpay (payments), our cloud hosting and database provider, and email/messaging providers. Your use of those integrations is also subject to the respective third party's terms and privacy policies.

8. Disclaimer of warranties

The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free or that stored data will never be lost. You are encouraged to keep your own backups of critical records.

9. Limitation of liability

To the maximum extent permitted by law, Ralosy, Kaksha and their founders, employees and contractors will not be liable for any indirect, incidental, consequential or exemplary damages, or for any loss of data, revenue, profits or business, arising out of your use of the Service. Our total aggregate liability for any claim in connection with the Service will not exceed the fees paid by you to Ralosy for the Service in the three (3) months immediately preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold harmless Ralosy and its representatives from any claims, losses or expenses arising out of your use of the Service, your content, or your breach of these Terms.

11. Suspension & termination

We may suspend or terminate your access if you breach these Terms, if payment fails, or if we are required to do so by law. You may cancel your subscription at any time from your account settings; see the Refund & Cancellation Policy. On termination we may delete your workspace and data after a reasonable retention period.

12. Modifications

We may update these Terms from time to time. Material changes will be reflected via the "last updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance.

13. Governing law & jurisdiction

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Punjab, India.
